BookyFlow Terms of Service

These Terms of Service ("Terms") govern the purchase, licensing and use of BookyFlow software and related services provided by Net 'n' Design, Pergamou 124, 26226 Patra, Greece, VAT ID EL045904150 ("Net 'n' Design", "we", "us" or "our").

By purchasing, downloading, installing or using BookyFlow, you agree to these Terms. If you do not agree with these Terms, you should not purchase or use BookyFlow.

1. About BookyFlow

BookyFlow is commercial software for Joomla websites, designed to provide booking, property management and related functionality for accommodation and other businesses.

BookyFlow may include extensions, plugins, integrations and other functionality developed by Net 'n' Design. The features and components available to you depend on the BookyFlow plan and license you have purchased.

BookyFlow is software. Net 'n' Design does not provide accommodation, travel, booking or other services offered by businesses using the BookyFlow software.

2. Definitions

For the purposes of these Terms:

"BookyFlow" means the BookyFlow software, including its extensions, plugins, documentation and related components made available by Net 'n' Design.

"License" means the right granted to you to use the BookyFlow software in accordance with these Terms and the applicable plan.

"Subscription" means the annual subscription associated with a paid BookyFlow plan that provides access to applicable software updates and support for the subscription period.

"Subscription Period" means the period of one year beginning on the date of purchase or renewal.

"Plan" means the BookyFlow package selected by the customer, including Gratis, Argentum, Aurum or Platinum, or any successor plan.

3. BookyFlow Plans

BookyFlow may be available through free and paid plans.

The features, plugins, number of properties, domain limitations, updates and support available under each plan are described on the BookyFlow website at the time of purchase.

We may introduce, modify or discontinue plans or individual features from time to time. Such changes will not retroactively remove rights that you have already acquired under a valid license, except where necessary to comply with applicable law or where a third-party service or technology is no longer available.

4. Free Version

BookyFlow may be available through a free plan ("Gratis").

The Gratis plan may be used without purchasing a paid subscription, subject to the features, plugins and usage conditions specified on the BookyFlow website.

Free users are generally provided with access to the support resources specified for the Gratis plan, such as documentation, FAQs and community forums.

The availability and scope of the free version may change over time.

5. Paid Subscriptions

Paid BookyFlow plans are sold as annual subscriptions.

A paid subscription provides the customer with the features and functionality associated with the selected plan, together with the applicable software updates and support for one year.

The subscription does not constitute a transfer of ownership of the BookyFlow software.

5.1 Perpetual License

The purchase of a paid BookyFlow plan grants you a perpetual, non-exclusive, non-transferable license to use the BookyFlow software covered by that purchase, subject to these Terms.

The expiration or cancellation of an annual subscription does not by itself terminate the perpetual license for software versions that you were entitled to use under your license.

After the subscription period ends, however, you are no longer entitled to new software updates or subscription-based support unless you purchase or renew an applicable subscription.

5.2 Updates

A paid subscription includes access to applicable BookyFlow software updates for the duration of the Subscription Period.

Updates may include bug fixes, security improvements, compatibility updates, improvements and new features.

The availability of specific updates or features may depend on the selected plan.

After the Subscription Period ends, you may continue using the versions of BookyFlow to which you were previously entitled, but access to subsequent updates requires an active subscription.

6. Domain Licensing

Where a paid plan is described as being for one domain, the license covers one primary domain and its associated subdomains.

For example, the following are considered part of the same domain license:

  • example.com

  • www.example.com

  • subdomain.example.com

A domain license does not permit the use of the licensed BookyFlow software on unrelated primary domains.

The Gratis plan may have different domain limitations, as specified on the BookyFlow website.

7. Property Licensing

Certain BookyFlow plans are limited to a single property, while other plans may support multiple properties.

The number of properties permitted under your license is determined by the plan purchased and the applicable product description at the time of purchase.

You may not circumvent property limitations by modifying, duplicating or otherwise altering the software or its licensing mechanisms.

8. Support

The level of technical support available to you depends on your BookyFlow plan.

Support may include:

  • documentation, FAQs and community forums;

  • standard ticket-based support; or

  • priority ticket-based support.

The specific support level applicable to each plan is described on the BookyFlow website.

Support covers assistance with the installation, configuration and normal use of BookyFlow.

Support does not include unlimited custom development, custom programming, third-party software development or modification of unrelated software unless expressly agreed separately.

We may request access to relevant technical information, configuration details or diagnostic information when reasonably necessary to investigate a support request.

9. Subscription Renewal

Paid BookyFlow subscriptions are annual subscriptions and may automatically renew for successive one-year periods unless cancelled before the next renewal date.

The applicable renewal price will be the price presented by the applicable checkout process at the time of renewal, subject to any applicable notice or legal requirements.

Renewal provides another period of updates and support. It does not create a new or separate perpetual software ownership right.

10. Cancellation

You may cancel your annual subscription at any time.

Cancellation prevents the subscription from renewing for another Subscription Period.

Cancellation does not normally terminate the current Subscription Period. You will continue to have access to the updates and support included with your plan until the end of the current paid Subscription Period.

Cancellation also does not terminate your perpetual license to use software versions covered by your license.

Unless otherwise required by applicable law or provided under the applicable refund policy, cancellation does not automatically entitle you to a refund for the unused portion of the current Subscription Period.

11. Purchases and Paddle

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns

Paddle handles payment processing, applicable transaction taxes, invoicing and related transaction services in accordance with its own terms and policies.

For applicable purchases, Paddle may appear as the seller or merchant of record on transaction documentation.

By purchasing BookyFlow, you may also be subject to Paddle's applicable buyer terms and policies.

For payment-related questions, refunds or transaction issues handled by Paddle, you may be directed to Paddle's customer support process.

12. Prices and Taxes

Prices displayed on the BookyFlow website are subject to change.

The applicable price for a purchase is the price presented through the checkout process before the transaction is completed.

Applicable taxes, VAT or other transaction-related charges may be calculated and collected through Paddle according to the customer's location and applicable law.

13. Refunds and Consumer Rights

Refunds and cancellations are subject to the BookyFlow Refund & Cancellation Policy and, where applicable, Paddle's policies.

Nothing in these Terms is intended to exclude or restrict any mandatory consumer rights that cannot legally be excluded or restricted.

Where applicable law provides a consumer with rights that differ from these Terms, those statutory rights will prevail.

14. License Restrictions

Subject to these Terms, you may install and use BookyFlow only within the limits of your purchased plan.

Unless expressly permitted by us, you may not:

  • resell, sublicense, rent, lease or distribute BookyFlow;

  • provide BookyFlow as a hosted or managed service to unrelated third parties;

  • redistribute BookyFlow or its premium components as part of another software product;

  • share your license credentials or download access with unauthorized persons;

  • circumvent license, domain, property or feature limitations;

  • remove copyright, trademark or other proprietary notices;

  • use BookyFlow to create a competing software product based substantially on BookyFlow;

  • reverse engineer, decompile or disassemble BookyFlow except to the extent that such activity cannot legally be restricted under applicable law.

You remain responsible for ensuring that your use of BookyFlow complies with applicable law and with the terms of any third-party services that you connect to BookyFlow.

15. Intellectual Property

BookyFlow, including its source code, object code, design, structure, documentation, graphics, trademarks and other original materials, is owned by or licensed to Net 'n' Design and is protected by applicable intellectual property laws.

These Terms grant you a license to use BookyFlow. They do not transfer ownership of BookyFlow or any intellectual property rights to you.

The BookyFlow name and related branding are trademarks or trade names of Net 'n' Design or its licensors, where applicable.

16. Third-Party Services and Integrations

BookyFlow may integrate with or depend upon third-party services, platforms, APIs, payment providers, channel managers, hosting services or other technologies.

Third-party services may require separate accounts, subscriptions, licenses, credentials or fees.

We do not control third-party services and cannot guarantee their continued availability, pricing, functionality, security or compatibility.

Changes made by third-party providers may affect the functionality of BookyFlow.

You are responsible for complying with the terms and policies applicable to any third-party service that you use with BookyFlow.

17. Joomla and Other Third-Party Software

BookyFlow may operate in conjunction with Joomla and other third-party software.

BookyFlow does not constitute ownership of, or grant you rights to, third-party software.

You are responsible for maintaining compatible versions of Joomla, PHP, hosting infrastructure and other required software, subject to the compatibility information published by BookyFlow.

Although we aim to maintain compatibility with supported environments, we cannot guarantee compatibility with every combination of third-party software, hosting environment, server configuration or extension.

18. Security and Customer Responsibility

You are responsible for maintaining appropriate security for your website, hosting environment, Joomla installation, administrator accounts and credentials.

You should maintain appropriate backups of your website and data before installing or updating BookyFlow.

We are not responsible for loss of data resulting from your failure to maintain appropriate backups or from circumstances outside our reasonable control.

19. Availability and Changes

We aim to keep BookyFlow and related services available and maintained, but we do not guarantee uninterrupted availability.

We may temporarily suspend access to downloads, update services, support systems or other online services for maintenance, security, upgrades or circumstances beyond our reasonable control.

We may modify or improve BookyFlow from time to time.

20. Warranty Disclaimer

To the maximum extent permitted by applicable law, BookyFlow is provided on an "as is" and "as available" basis.

We do not warrant that BookyFlow will:

  • operate without interruption or errors;

  • be compatible with every third-party system or configuration;

  • meet every particular business requirement;

  • remain compatible with every future version of Joomla, PHP or third-party software; or

  • be free from all defects.

Nothing in these Terms excludes or limits warranties or rights that cannot legally be excluded or limited.

21. Limitation of Liability

To the maximum extent permitted by applicable law, Net 'n' Design will not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, business opportunities, goodwill or data arising from or relating to the use of BookyFlow.

To the maximum extent permitted by applicable law, our total liability arising from or relating to BookyFlow will be limited to the amount paid by you to Net 'n' Design for the relevant BookyFlow subscription or license during the twelve months preceding the event giving rise to the claim.

Nothing in these Terms limits liability where such limitation is prohibited by applicable law.

22. Termination

We may suspend or terminate your license if you materially breach these Terms and fail to remedy the breach within a reasonable period after being notified.

Examples of material breaches may include unauthorized redistribution, resale, sublicensing, deliberate circumvention of licensing restrictions or misuse of BookyFlow.

Termination resulting from a breach of these Terms may result in the loss of your right to use BookyFlow.

Termination does not affect rights or obligations that accrued before termination.

23. Changes to These Terms

We may update these Terms from time to time.

When we make material changes, we will publish the updated Terms on the BookyFlow website and update the "Last updated" date.

The Terms applicable to a purchase are those accepted by you at the time of purchase, subject to subsequent changes that are required by law or that otherwise apply to your continued use of the services.

24. Governing Law

These Terms are governed by the laws of Greece, without regard to conflict-of-law principles.

Nothing in these Terms limits any mandatory consumer protection rights that apply to you under the laws of your country of residence.

Where mandatory consumer protection law grants you the right to bring proceedings in your country of residence, nothing in this section is intended to remove that right.

26. Acceptance

By purchasing, downloading, installing or using BookyFlow, you acknowledge that you have read and agree to these Terms of Service.
